Our firm has acted as lead investors in a highly structured $12.2million preferred investment in a major textiles company.

We have also provided counsel on the financing aspects of the acquisition of a financial services company, as well as the $500million acquisition of a local exchange carrier business, which included equity commitments and structured facilities.

Additionally, we advised on an indirect minority investment in a prominent furniture company.

Our expertise extends to structuring an umbrella letter of credit facility with a leading global bank, under which the bank provides letters of credit to borrowers on behalf of our clients to satisfy their obligations under credit agreements.

We have successfully negotiated and executed a $22 million margin loan over retained shares in a major agricultural produce company, in connection with its listing on a Japanese stock exchange, and continue to provide ongoing advice.

Our team has also managed the financing aspects of the acquisition of a leading home construction company, involving a multi-currency super senior revolving credit facility and a senior secured bridge loan facility, later refinanced by the issuance of senior secured fixed rate and floating rate notes.

Our strategic and financial partnerships include collaborations with a life sciences venture capital firm and a dedicated trust banking group in Singapore, which has committed to investing $800million alongside our clients in a diversified portfolio of alternative assets.

We have structured an equity prepaid forward purchase transaction in a financing agreement with a connected vehicle data company, as part of its merger with a special purpose acquisition company (SPAC).

Additionally, we have issued senior secured notes secured by a lien on our clients’ participation interests in the rights to distributions from a portfolio of equity investments.

Our firm has developed numerous inter-company liquidity structures and related arrangements to address ongoing liquidity needs, facilitated numerous transactions in connection with rescue bank financing, and established numerous strategic partnerships to increase the balance sheet capacity of commitment platforms.

We also formed a hedge fund product focused on investment-grade assets for insurance companies.
