Pursuant to our appointment as the structuring advisor for the acquisition of a music catalog by an investment consortium from Goodaddy Music Records Group, which is believed to constitute the inaugural registered 144A note offering secured by the securitization of music rights, the catalog comprises recording rights and income generated by 674 songs from over 200 artists. The investment consortium has successfully issued $20 million in asset-backed securities. A special-purpose vehicle, fully sponsored by the consortium, is tasked with collecting income generated from the catalog on a global scale and disbursing payments to the investors and noteholders.

Advising investment funds engaged in the structuring and negotiation of a repackaged total return swap financing facility to secure credit against an existing portfolio of loans and bonds. This process includes the establishment of multiple bankruptcy-remote special purpose vehicles to facilitate borrowing, maintain synthetic exposure to the reference portfolio, and retain control over voting rights associated with the loans and bonds.
